Terms and Conditions of Sale (T&Cs)

1/ PREAMBLE

These General Terms and Conditions of Sale (hereinafter referred to as "T&Cs") govern the contractual relationships between:

• - Questmind, a sole proprietorship registered under the SIRET number FR92488225100011, with its registered office located at La Ville Besnard, 35400 Saint-Malo, France, represented by Killian SIMON.
• - The client: any natural or legal person using Questmind's services (hereinafter "the Client").

By using Questmind's services, the Client unreservedly accepts these T&Cs.

2/ PURPOSE OF THE T&Cs

These T&Cs define the rights and obligations of the parties within the framework of Questmind's services, consisting of:

• - The management of esports athletes.
• - The search for partnerships and sponsors.
• - The management of communication for esports athletes.

Questmind receives compensation in the form of commissions, directly invoiced either to the Client (athlete) or to the partner team or organization as contractually defined.

3/ PAYMENT TERMS

Questmind accepts the following payment methods:

• - Credit card: Payments by credit card must be made through a secure platform.
• - Bank transfer: Bank details will be specified on each issued invoice.

• - Invoices issued by Questmind must be paid within 30 days from the date of receipt, unless otherwise stated on the invoice.

If a late payment occures to the commission owed to:

• - Late payment penalties will be applied starting from the day after the due date stated on the invoice. These penalties are calculated at an annual rate of 12%, equivalent to 1% per month of delay.
• - A fixed recovery fee of €40 will also be added to each unpaid invoice, in accordance with Article D441-5 of the French Commercial Code.
• - Questmind reserves the right to suspend its ongoing services or collaborations until the outstanding amounts are settled.

Questmind's services will begin only after the signing of a contract or written agreement and, if applicable, after the payment of any initial agreed amount.

4/ COMPENSATION TERMS

• - Questmind receives a commission corresponding to a percentage of the revenue generated by the Client within the framework of partnerships, sponsorships, or any other income directly related to the esports activity managed by Questmind.
• - The commission percentage and billing terms are defined in a written agreement or contract signed between Questmind and the Client (or the team).

The commission may be invoiced directly:

• - To the Client (athlete): based on the income received through partnerships or sponsorships.
• - To the partner team or organization: based on the income generated through the collaboration between the athlete and the team, or as stipulated in contractual agreements.

A detailed invoice will be issued by Questmind specifying the basis for calculating the commission (amount of the partnership or sponsorship).

5/ OBLIGATIONS OF Questmind

• - Questmind commits to making all reasonable efforts to seek opportunities, partners, and sponsors for the esports athletes it manages.
• - Questmind does not guarantee specific results, as these depend on many external factors.

• - Questmind commits to maintaining the confidentiality of the information provided by the Client.

6/ OBLIGATIONS OF THE CLIENT

• - The Client commits to actively collaborating with Questmind by providing all necessary information for the completion of the services.

• - The Client commits to informing Questmind of any income received through partnerships or sponsors negotiated thanks to its services.

• - If commissions are to be invoiced directly to teams or partner organizations, the Client must facilitate communication between Questmind and the concerned parties.

7/ APPLICABLE LAW AND DISPUTES

• - These T&Cs are governed by French law.

• - In the event of a dispute, the parties commit to seeking an amicable solution.
• - If no agreement is reached, the dispute will be submitted to the competent courts of the location of Questmind's registered office.

8/ MISCELLANEOUS PROVISIONS

The T&Cs as established may be modified at any time and unilaterally. However, acceptance of these T&Cs will be required again from the Client.
